Terms of Service

By accessing or using the Prizm platform at getprizm.ai(the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms apply to all visitors, users, and others who access the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Service.

Prizm provides a connectivity and orchestration platform that enables individuals and organizations to securely connect applications and use those integrations across AI and agentic environments.

The Service enables users to connect third-party applications, including productivity, communication, and developer tools, and use authorized capabilities through platforms such as Gemini, Claude, AniGravity, and similar AI environments.

The Service includes:

• Unified APIs and SDKs for third-party integrations.
• Secure OAuth credential management and token storage.
• Execution history and operational visibility.
• Real-time webhooks and event delivery.
• Developer dashboards and workspace management.
• Documentation, support, and ancillary services.

Prizm reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To use the Service, you must create an account. You agree to:

• Provide accurate, complete, and current registration information.
• Maintain the security of your password and accept responsibility for all activities under your account.
• Notify us immediately at vault@getprizm.ai of any unauthorised use or security breach.
• Not share your API keys or account credentials with unauthorised third parties.

Prizm reserves the right to suspend or terminate accounts that violate these Terms or engage in abusive behaviour.

You agree to use the Service only for lawful purposes. You must not:

• Use the Service to violate any applicable law or regulation, or the terms of any third-party service connected through Prizm.
• Transmit malicious code, viruses, or any harmful content through the Service.
• Attempt to gain unauthorised access to the Service, other users' accounts, or third-party systems connected via Prizm.
• Reverse engineer, decompile, or disassemble any part of the Service or its underlying infrastructure.
• Use the Service to build a competing product or resell access without prior written consent from Prizm.
• Scrape, crawl, or systematically extract data from the Service in a manner that exceeds your authorised API rate limits.
• Interfere with or disrupt the integrity or performance of the Service or its related systems.

Prizm reserves the right to investigate suspected violations and cooperate with law enforcement as appropriate.

Your use of the Prizm API is subject to the rate limits and quotas defined in your subscription plan. We reserve the right to:

• Throttle or suspend API access that exceeds plan limits.
• Modify rate limits with 30 days' notice, except in cases of abuse or security threats where immediate action may be necessary.
• Charge for usage above plan thresholds as specified in your subscription agreement.

You are responsible for securing your API keys. Prizm is not liable for charges resulting from unauthorised use of your credentials.

Paid plans are billed on a monthly or annual basis as selected at checkout. By subscribing, you authorise Prizm to charge the payment method on file automatically at each renewal period.

• Free Plan: Available with limited connectors and API calls. No credit card required.
• Paid Plans: Upgraded features, higher rate limits, and priority support. Fees are non-refundable except as required by applicable law or as stated in our refund policy.
• Cancellation: You may cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period; you retain access until then.
• Price Changes:We will provide 30 days' advance notice of any price increase. Continued use after the notice period constitutes acceptance.

All amounts are in USD unless otherwise stated. You are responsible for any applicable taxes.

Our IP: The Service, including all software, designs, documentation, and trademarks, is owned by Prizm. and protected by applicable intellectual property laws. You may not use Prizm's name, logo, or trademarks without prior written permission.

Your Content:You retain ownership of any data, code, or content you transmit through the Service ("Customer Data"). By using the Service, you grant Prizm a limited, non-exclusive licence to process Customer Data solely to provide, operate, secure, maintain, and improve the Service and its user-facing functionality.

Customer Data may be processed as part of execution history, operational logs, auditability features, debugging, abuse prevention, security monitoring, and service reliability. Prizm does not use Customer Data obtained through Google Workspace APIs to develop, improve, or train generalized artificial intelligence or machine learning models.

Feedback: Any feedback or suggestions you provide about the Service may be used by Prizm without obligation or compensation to you.

The Service enables connections to third-party platforms. Your use of those platforms is governed by their respective terms of service and privacy policies. You must ensure you have the necessary rights and authorisations to connect and transmit data to any third-party service through Prizm.

Prizm enables users to connect third-party services and use authorized capabilities across AI and agentic environments. When users connect third-party services, Prizm may process, transmit, and retain associated data as required to provide user-facing functionality, execution visibility, operational logging, security monitoring, auditability, and service reliability.

Third-party platforms connected through Prizm remain subject to their own terms, privacy policies, and operational practices.

Google Workspace and Google API-derived data accessed through Prizm is used solely to provide user-facing functionality explicitly requested and authorized by users.

Google Workspace and Google API-derived data is not:

• Sold to third parties
• Used for advertising
• Used for behavioral profiling
• Used to develop, improve, or train generalized artificial intelligence or machine learning models
• Used for purposes unrelated to providing user-facing functionality

Prizm's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Google-derived information processed through Prizm may temporarily appear in execution history, operational logs, and auditability features as described in the Privacy Policy.

Retention periods and deletion practices are governed by the Privacy Policy.

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. Prizm's handling of your data is further governed by our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PRIZM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

Prizm depends on third-party platforms and services for certain functionality. Availability, behavior, and functionality of third-party integrations may change without notice and are outside Prizm's control.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIZM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PRIZM'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO PRIZM IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

You agree to defend, indemnify, and hold harmless Prizm, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third party's rights.

Either party may terminate these Terms at any time. Prizm may terminate or suspend your access immediately, without prior notice, if:

• You breach any provision of these Terms.
• Your use of the Service poses a security risk or legal liability.
• We are required to do so by law.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including IP, disclaimers, limitation of liability, and governing law) shall survive.

Upon termination or revocation of connected integrations, future access to connected third-party services will be disabled. Operational records and execution logs may continue to be retained for limited periods in accordance with the Privacy Policy and applicable legal, security, operational, or compliance requirements.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

We reserve the right to modify these Terms at any time. We will provide 30 days' notice of material changes via email or a prominent in-app notification. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may cancel your account.
